At HPC, we aspire to provide the best possible hydroponics and landscaping design and engineering services to our clients worldwide, based on our many years of experience in hydroponics and landscape design, setup and maintenace for personal, recreational, educational and industrial uses. HPC has been invited/been offered, and has agreed to the execution of the project requested by you/your clientele.

Proper use of the hydroponics greenhouse, all included systems and retrofitted items, include understanding, following and thorough execution of all checklists provided in the Annexes of this document. HPC will not be held liable for any injury, grevious hurt, death, health hazards, water leaks, electric shocks, mosquito breeding sites, or any other safety and health hazards due to improper use of the hydroponics system and greenhouse.

Terms & Conditions

Project & Maintenance Terms and Conditions

HPC’s Projects Division, Maintenance Division, and all other entities under Hydroponics & Plant Care Private Limited, shall henceforth in this document be referred to as ‘Hydroponics & Plant Care Pte Ltd’ or ‘HPC’. Regarding offers, HPC’s offers shall not be binding and without engagement, unless they are expressly confirmed as binding in writing. A sale on call must be effected within the specified period of time. Where the customer is in default with calling the purchased goods by HPC, HPC shall, on the grounds of the still unfulfilled part of contract, be free to either withdraw from the contract or to claim damages instead of performance.

The following terms and conditions apply to all products and services offered and rendered by Hydroponics & Plant Care Pte Ltd. The terms “contract” and “quotation”, “variation” and “additional service” are interchangable for the purposes of this quotation. The client will be responsible for all payments to Hydroponics & Plant Care Pte Ltd unless otherwise notified in writing prior to commencement. Hydroponics & Plant Care Pte Ltd may employ the services of subcontractors to assist with any works required.

All subcontractors fall under the term “and related parties”. All artist’s visualisations, illustrations, and pictorial discriptions of final products shown are creative visualisations and may not directly replicate final product. The client shall provide water and electricity at no charge to, Hydroponics & Plant Care Pte Ltd and related parties, for all works performed at the client site. The client shall provide access to site to, Hydroponics & Plant Care Pte Ltd and related parties, during working hours and storage space for materials during the contract progress. Site access shall include access to escalators, elevators, service elevators and other mechanisms required to transport products, staff, and any items for the works listed in the quotation. Any addition and/or alterations to the schedule shall be properly treated as variations (also known as “Additional Services”) and is subject to written instructions.

Hydroponics & Plant Care Pte Ltd regards all information regarding projects, including but not exclusive to greenhouse construction, systems construction, and consultancy works, to be intellectual property. Setup configurations and are not to be shared with external parties without the expressed written consent of Hydroponics & Plant Care Pte Ltd. Should such configurations and data be shared, for any reason, without expressed written consent of Hydroponics & Plant Care Pte Ltd, the sharing party will liable for intellectual property charges as directed by Hydroponics & Plant Care Pte Ltd, to full legal extent.

The ‘hand over’ is a mutual agreement between HPC and its clients, nearing, or upon, the completion of a project, agreeing that the product provided is satisfactory for the client, and that the client to begin, anytime henceforth, the use of the product set up by HPC. Hydroponics & Plant Care Pte Ltd regards the hand over of projects, including but not exclusive to greenhouse construction, systems construction, and consultancy works, to clients as the hand over responsibility of care and maintenance for the product to the client. HPC shall not be held liable for any issues, efficacy, safety, or otherwise, that may arise with the systems following the hand over of the project to the client, including any mosquito breeding or leakages that may occur. HPC may continue to provide servicing and other maintenance for the products, if mutually agreed and supported by expressed written approval of Hydroponics & Plant Care Pte Ltd.  If no hand over documentation is presented or signed prior, all projects, including but not exclusive to greenhouse construction, systems construction, and consultancy works, are considered to be handed over to client party upon the use of the the product by the client or the client-authorised parties (for example, hand over is completed fully and completely upon the use of the product greenhouse/systems/business plan used to cultivate plants).

The ‘warranty’ is a mutual agreement between between HPC and its clients that, upon the completion of a project or the supply of a product, Hydroponics & Plant Care Pte Ltd will provide services to repair/resolve, up to the condition that the project/product was in when handing over to the client, defects in material or defects in workmanship. Limited warranty will be provided, if specified in contract, on deteriorated plant or soil health due to transport and transplanting, and labour works, and does not cover unidentifiable causes and acts of nature/acts of god, through the elements, including drought, winds, rain and frost to any material(s) including plants.

Hydroponics & Plant Care Pte Ltd and related parties are not able to accept responsibility for any damage to (or cost involved with) any underground hazards, obstructions or services not made known to us in writing or apparent on visual inspection before this above quotation is written. Down payment(s) of 25%-50% is payable with order in certain situations, will be specified on contract. We reserve the right to charge a monthly fee, from $50-$500 per month, for any outstanding invoice not paid in full.

Stage payments of against works completed/materials on site to be made at weekly intervals, or as specified in the contract. Final payment to be made following completion and payable within 7 days of our invoice. Acceptance before that date will ensure no increase in the cost of the works specified in the quotation. All, or any special conditions, of which Hydroponics & Plant Care Pte Ltd and related parties has been informed are noted in the quotation. It is very important and the responsibility of the Client to ensure we are made aware of any special/statutory Bylaws/Conditions/Permissions that may be involved. We accept no responsibility for works that have been carried out on land that is not under the ownership of the client and it is assumed that all planning laws or regulations have been applied before commencement of any works. We are not able to accept responsibility for the well being and maintenance of living plant material, including turf, following practical substantial completion unless a maintenance contract is in existence. Limited warranty will be provided, if specified in contract, on deteriorated plant or soil health due to transport and transplanting, and labour works, and does not cover unidentifiable causes and acts of nature/acts of god, through the elements, including drought, winds, rain and frost to any material(s) including plants. If necessary, we reserve the right to substitute any plant with another of equal value and growth/habitat/colour in accordance with the specification. After practical substantial completion, we are not able to accept responsibility for any damage through the elements, including drought, winds, rain and frost to any material(s) including plants. Upon practical substantial completion the responsibility for the care and watering of all plants, lawns, etc., is handed over to the client and will require regular attention until established. Severe weather conditions, including drought, may cause the delay of the start date of the contract. Delays caused by other companies, or weather conditions, on site may cause work to be rescheduled and charges may be made in certain circumstances.

All materials on site, as to be provided in the contract, remain the property of Hydroponics & Plant Care Pte Ltd until payment is received in full. Maintenance is not included in the contract unless specified. Hydroponics & Plant Care Pte Ltd reserves the right to amend these terms and conditions without prior notice.

All materials on site, as to be provided in the contract, remain the property of Hydroponics & Plant Care Pte Ltd until payment is received in full. Maintenance is not included in the contract unless specified.

HPC Products Division Terms and Conditions

HPC’s Retail (Products) Division, and all other entities under Hydroponics & Plant Care Private Limited, shall henceforth in this document be referred to as ‘Hydroponics & Plant Care Pte Ltd’ or ‘HPC’.

The customer shall be responsible for compliance with any potential export regulations, if the customer exports HPC’s products abroad. Unless otherwise shown in HPC’s order confirmation, all prices are invoiced in Singapore Dollars, without engagement ex warehouse, including packaging costs and without insurance costs and other charges. HPC shall be entitled to charge the prices valid on the day of delivery, even if these prices deviate from the order confirmation.

Unless otherwise specified in HPC’s order confirmation, a default occurs thirty (30) days after the date of invoice. In the course of default HPC shall be entitled to charge interest on the outstanding debt at ten (10) percentage points above the basic interest rate of the Monetary Authority of Singapore. The right to assert further damage shall be reserved by HPC. HPC shall be entitled to make delivery contingent upon advance payment or to perform delivery by way of c.o.d. shipment. All costs resulting from payment by cheques and bills shall be borne by the customer. No obligation to make due presentation and protest shall be assumed.

If, subsequent to contract conclusion, HPC gains knowledge of circumstances which considerably lower the credit standing of the customer or give occasion to fear non-compliance with the payment obligations, HPC shall be entitled to prohibit a resale of goods delivered under reservation of title and to demand the return of those goods at the expense of the customer. HPC may thereafter make the renewed delivery contingent upon advance payment, without putting the customer in a position to enforce the right of retention or rescission in that respect.

Dates of delivery shall only be fixed dates, if they have been expressly confirmed as such in writing. A statement of delivery periods shall be only approximate and not binding. However, HPC shall endeavor to grant compliance with the dates of delivery. Unforeseeable extraordinary events, which HPC was unable to avert in spite of exercising the care that can be reasonably expected under the circumstances of the particular case, such as operational breakdown, strike, lockout, government interference, war, disturbance of the energy supply or the provisioning with raw materials and similar events shall entitle HPC to reasonably extend the delivery period, even if these events occur at sub- suppliers. If these events render the delivery impossible or unreasonable, HPC will be released from the supply commitment in whole or in part.

The customer shall immediately inspect the delivery in order to detect any defects, damage to goods in transit, any faulty delivery and variation in quantity. The warranty shall be excluded, if the customer fails to immediately assert recognizable defects in writing, however not later than within eight (8) days following receipt of the goods. Written notice of non-recognizable defects must be given immediately upon their discovery. In the event of a defect, a subsequent performance of the contract shall at HPC ́s option either be effected through elimination of the defect, or through delivery of a new faultless article.
